Checkr is recognized on <a href="https://www.forbes.com/lists/cloud100/" target="_blank">Forbes Cloud 100 2025 List</a> and is a Y Combinator 2024 <a href="https://www.ycombinator.com/blog/yc-top-companies-2024">Breakthrough Company</a>.</p></div><p><strong>About the team/role</strong></p> <p>Reporting to Checkr’s Vice President, Corporate &amp; Commercial, you’ll be a key member of a lean, collaborative legal team, helping deliver the corporate legal work behind Checkr’s next stage of growth — including IPO readiness, M&amp;A, securities, and corporate governance. You’ll own defined corporate and transactional workstreams with direct guidance from the Vice President, providing crisp, risk-based advice and knowing when to escalate or bring in outside counsel. Working closely with the Finance and Corporate Strategy teams and external counsel, you’ll help build the processes and playbooks that let Checkr’s legal function scale with the business.&nbsp; This role is based in our San Francisco office.</p> <p><strong>What you’ll do</strong></p> <ul> <li>Provide hands-on support across corporate transactional work — M&amp;A and other strategic transactions — including deal structure and LOI input, due diligence, drafting and negotiating deal agreements, and post-closing integration.</li> <li>Support IPO readiness, including cross-functional readiness planning and assisting with S-1 drafting.</li> <li>Execute equity and debt financing transactions and maintain ongoing compliance&nbsp;</li> <li>Coordinate with the legal, finance, and corporate strategy teams and external corporate counsel to keep transactions and workstreams on track.</li> <li>Advise on and support corporate governance matters, including board and shareholder logistics and&nbsp; governance policies</li> <li>General corporate work, including corporate registrations and filings, entity administration, leases, and intercompany agreements</li> <li>Manage stock administration, equity matters, securities filings, and employee equity education.</li> <li>Help manage Checkr’s insurance and enterprise risk programs</li> <li>Assist sales lea
