Whether you're building on our platform, supporting our customers, or shaping our story: You can just ship things.</span></p></div><h2>About the Role:</h2> <p>We are looking for a <strong>Senior Legal Counsel, Corporate</strong> to lead Vercel’s M&amp;A transactions and Vercel Ventures investments, to assist with general corporate matters, and to support corporate initiatives including any future public company readiness and SEC reporting.</p> <p>This role will partner closely with Corporate Development, Finance, Accounting, Equity, and executive leadership across a broad range of corporate matters to strengthen our processes, structure and execute high-impact transactions, and provide exceptional advice to the business. You will play a key role in enabling Vercel to move quickly on strategic opportunities while building the legal foundations needed to support continued growth and strong corporate governance.</p> <p>This role will partner closely with Corporate Development, Finance, Accounting, and executive leadership across a broad range of corporate legal matters, from M&amp;A transactions and strategic investments to general corporate governance and financings. You will play a key role in building the legal foundations needed to support Vercel's continued growth while enabling the company to move quickly and decisively.</p> <p>You will report to the Head of Corporate Legal and will be based in San Francisco or NYC with a 3 day/week in-office requirement.</p> <h2>What You Will Do:</h2> <ul> <li>Lead end-to-end execution of M&amp;A transactions, including structuring, diligence, negotiation, closing, and integration&nbsp;</li> <li>Serve as the primary legal partner for Vercel Ventures, advising on deal execution and risk across the investment lifecycle</li> <li>Support corporate governance, securities matters, and any future public company readiness and SEC reporting efforts</li> <li>Assist with general corporate matters including any debt and equity financings, board and stockholder matters, global entity management, and secondary sales</li> <li>Opportunity to assist on employment-related matters&nbsp;</li> <li>Identify opportunities to improve and scale transaction processes and legal frameworks to increase speed and consistency</li> <li>Advise executives and senior leaders on transaction-related risks and tradeoffs, enabling informed and timely decision-making</li> <li>Manage and coordinate outside counsel to deliver high-quality, efficient outcomes</li> <li>Translate complex legal and regulatory requirements into clear, actionable guidance for cross-functional teams</li> </ul> <h2>About You:</h2> <ul> <li>8+ years of legal experience, including significant M&amp;A and general corporate transactional experience, with a mix of top-tier law firm and in-house experience</li> <li>Exposure to public company readiness and SEC reporting requirements&nbsp;</li> <li>Experience supporting high-growth technology companies and ability to balance business objectives with legal and regulatory compliance&nbsp;</li> <li>Demonstrated ability to independently own and execute complex transactions with minimal oversight</li> <li>Strong judgment with the ability to assess risk and make decisions in fast-moving, ambiguous environments</li> <li>Experience leveraging AI tools to improve legal workflows and execution speed</li> <li>Ability to partner effectively with senior business leaders and cross-functional teams</li> <li>Licensed to practice law in California OR New York or eligible for Registered In-House Counsel status</li> </ul> <h2>Bonus If You:</h2> <ul> <li>Experience with venture investments or corporate venture capital programs and managing corporate entities</li> <li>IPO experience</li> <li>International transaction experience</li> <li>Experience building agents or bots for legal workflows</li> </ul> <h2>Benefits:</h2> <ul> <li data-stringify-inden
